1. Services

Service Provider (“Statement Floral Inc.”) agrees to provide decor and floral services for Amazon Ads Immersion Day: Los Angeles (the “Event”) to be held September 15–16, 2026 at Aqua Beverly Hills, Los Angeles, California. Decor scope shall integrate with the Event's AI-creative narrative, including the on-stage Gen-AI content wall sublicensed under Schedule 3 (Prime Video Signature program).

2. Scope of Work

Service Provider shall design, fabricate, install, and strike all decor elements as detailed in Exhibit A (Production Scope). Scope includes reception florals, stage architecture, way-finding signage, and ambient installations across reception, plenary, and breakout zones.

3. Fees & Schedule

Total contract value is five thousand dollars ($5,000.00) USD inclusive of materials, labor, delivery, and strike. Payment terms shall be Net-60 days from final acceptance. Service Provider may not invoice in advance of load-in completion.

4. Exclusivity

For the duration of this Agreement and through December 31, 2026, Service Provider shall serve as the exclusive provider of decor and floral services for premium events held by Client in the metropolitan Los Angeles market.

5. Term & Renewal

This Agreement automatically renews for successive one-year terms unless terminated in writing 90 days prior to expiration, with contract values escalating by 5% year over year.

6. Indemnity

Each party shall indemnify, defend, and hold harmless the other party against third-party claims arising from its negligent acts or willful misconduct, subject to the standard caps and exclusions set forth in Schedule 2.

7. Intellectual Property

All deliverables created hereunder shall be deemed work-made-for-hire for the exclusive benefit of Client. To the extent any work product does not qualify as work-made-for-hire by operation of law, Service Provider hereby assigns all right, title, and interest in such work product to Client.

8. Termination

Either party may terminate this Agreement for material breach upon thirty (30) days written notice and a fifteen (15) day cure period. Client may terminate for convenience subject to payment for services rendered through the date of termination.

9. Force Majeure

Neither party shall be liable for delay or non-performance resulting from circumstances beyond reasonable control, including without limitation acts of god, public health emergencies, governmental orders, civil unrest, or supply chain disruption.

10. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any dispute arising hereunder shall be resolved exclusively in the state or federal courts located in Los Angeles County.
